LEGION LINKSTERS GOLF CLUB
BY-LAWS

ARTICLE I - NAME

The name of this CLUB shall be LEGION LINKSTERS.

ARTICLE II - PURPOSE

First: To promote and foster among its members a closer bond for their mutual benefit, and to promote and conserve the best interests and true spirit of the game of golf as embodied in its ancient and honorable traditions.

Second: To enforce uniformity in the rules of the game by creating a representative authority.

Third: To maintain a uniform system of handicapping as set forth in the regulations of the Northern California Golf Association in cooperation with the United States Golf Association.

Fourth: To afford a convenient and authoritative body to govern Club tournaments held at various courses.

ARTICLE III - MEMBERSHIP

Section 1. Membership shall be available to anyone over the age of 18.

Section 2. Memberships are individual and non-transferable. Dues include membership in the Northern California Golf Association. The NCGA dues provide a subscription to the quarterly magazine, NCGA News, monthly computerized handicap, NCGA tournament eligibility and any other special membership services available.

Section 3. The fiscal year for the Club will be December 1 through November 30.

Section 4. Each candidate for membership shall be proposed and seconded by two active members in good standing. The Board of Directors shall act upon each proposal by vote and two negative notes shall disqualify any candidate.

Section 5. In the event any member of this organization shall commit any act which reflects discredit or dispute thereon, or shall refuse or neglect to comply with the rules and regulations adopted by the Board of Directors or the duly appointed officers, such member shall be subject to suspension or expulsion after ten days written notice and the right to be heard, by a vote of two-thirds of the Board of Directors at any regular meeting or special meeting called for such purpose.

Section 6. The Annual Meeting of the LEGION LINKSTERS shall be held in the month of November or as scheduled by the Board of Directors. The Board of Directors shall provide for the holding of such other meetings as may be deemed necessary or desirable, and they shall call special meetings upon written petition signed by not less than ten percent of the membership.

Section 7. A legal quorum at the Annual Meeting of the membership shall be twenty-five percent (25%) of the membership or twenty-five (15) members, whichever is greater, in good standing present in person or by proxy. Each active member in good standing shall be entitled to one vote.

Section 8. All membership fees and dues shall be established by the Board of Directors in such amounts as they deem to be adequate to operate and maintain the Club. Members shall be liable for dues until their written resignation has been received and accepted. Payment of dues for renewal of membership is due by November 30 of each year. Late renewals may be assessed additional fees levied by the NCGA.

ARTICLE IV - BOARD OF DIRECTORS

Section 1: The Board of Directors shall consist of the club President, Vice President, Secretary, Treasurer, and three (3) Directors at large. This Board shall have all the governing power not specifically excepted by these By-Laws. A legal quorum of the Board shall be a minimum of five Directors present in person.

Section 2: The Board of Directors shall be elected by the membership during November. A nomination Committee, exclusive of Board members, shall be appointed by the President prior to the November General meeting for the purposes of gathering nominations for the following year’s board.

Section 3: In case of any vacancy through death, resignation, disqualification or other cause, the remaining directors, even though less than a quorum, may elect a successor by majority vote to hold office for the unexpired term of the director whose place shall be vacant, and until the election of this successor.

Section 4. The duties of the elected officers are as follows:

President: The President shall preside at all General Meetings, appoint all committees as required, and enforce the rules and By-Laws of the club as deemed necessary.

Vice President: The Vice President shall perform the duties of the President in the event of the President’s absence, and generally assist the President in all matters concerning the club.

Secretary: The Secretary shall record the minutes of meetings , process all membership applications, maintain membership records, and accomplish necessary correspondence.

Treasurer: The Treasurer shall collect green fees for each tournament, pay all bills against the Club and any other expenditure requested by the Directors. The Treasurer shall prepare an Annual Report for the Board of Directors on club activities, membership, dues, financial status and include any other information which has been requested by the President. The Treasurer shall have check cashing authority.

ARTICLE V: COMMITTEES

The President with counsel from the Board of Directors, shall appoint the following committees:

Tournament Director: The Tournament Chairman shall be responsible for the proper organization and running of the tournaments. The Tournament Chairman shall negotiate and schedule future tournaments with various golf courses for the following year with Board approval. Shall insure that any required pre-tournament fees be paid by the treasurer.

Handicap Director: The Handicap Chairman shall maintain current handicap status for the membership. The Handicap Chairman will also be responsible to maintain the Electronic Posting system needed for fulfilling the needs of the club. Arrange players in foursomes, provide pairings and assign starting times for each group. Maintain correspondence with NCGA.

Publicist Director: Maintain current mailing phone list of all members. Prepares copies and mails the annual newsletter containing year end tournament results as well as general information of interest to the membership. Distribute and copy any other bulletins deemed necessary. Publish and distribute tournament calendar for following year.

Junior Golf Committee: To establish a comprehensive instructional and competitive program for junior members under 17 years of age.

ARTICLE VI: REVISION TO BY-LAWS

These By-Laws may be revised or new By-Laws adopted from time to time as the Board deems necessary.
